1.4 Intellectual Property

These elements are the exclusive property of Helpeur Inc. Any reproduction, representation, modification, publication, transmission or distortion, in whole or in part, of the site or its content, by any process whatsoever, and on any medium whatsoever, is prohibited without the prior written authorization of Helpeur Inc.

The "Helpeur" trademark and associated logos are registered or unregistered trademarks of Helpeur Inc. Any unauthorized use of these trademarks is strictly prohibited.

This legal notice, privacy policy and terms of use are governed by the laws in force in the province of Quebec and the federal laws of Canada that apply. « Helpeur » or « Professional »: Self-employed worker or company offering services through the Helpeur platform.

« Privacy incident »: Unauthorized access, use, communication or loss of personal information.

2.3 Personal Information Collected

2.3.1 Information Provided Directly by You

We collect the information you provide to us when:

  • Creating your account (name, first name, email address, password, phone number)
  • Completing your profile (address, profile photo, preferences)
  • Registering as Helpeur/Professional (identity documents, professional certifications, criminal background check, proof of insurance)
  • Transactions (payment information, order history)
  • Communications with our customer service
  • Reviews and ratings you publish

2.3.2 Automatically Collected Information

When you use our Services, we automatically collect:

  • Connection data (IP address, browser type, operating system, pages viewed, visit duration)
  • Geolocation data (with your consent, to connect you with nearby professionals)
  • Device-related data (unique identifier, model, operating system version)
  • Connection cookies and similar technologies

2.4 Purposes of Collection and Use

We use your personal information for the following purposes:

Service Provision: Create and manage your account, process your service requests, facilitate connections between Clients and Professionals, process payments.

Verification and Security: Verify the identity and qualifications of Professionals, conduct criminal background checks, prevent fraud and ensure platform security.

Communications: Send you notifications regarding your orders, confirmations, reminders and customer service communications.

Service Improvement: Analyze the use of our Services, develop new features, conduct research and statistical analyses.

Marketing (with your consent): Send you promotional offers, newsletters and commercial communications.

Legal Compliance: Comply with our legal obligations, respond to authority requests, exercise or defend our legal rights.

2.5 Consent

In accordance with Law 25 and other applicable laws, we obtain your consent in a free, informed and specific manner before collecting, using or communicating your personal information.

Explicit consent: For sensitive information, marketing communications and use of geolocation, we ask for explicit consent (checkbox, active acceptance).

Implicit consent: For information necessary for the provision of Services you have requested, your consent is presumed when you use our Services.

Withdrawal of consent: You can withdraw your consent at any time by contacting us. However, withdrawal of consent may limit our ability to provide you with certain Services.

2.6 Communication to Third Parties

We may communicate your personal information to the following categories of third parties:

Other users: Clients and Professionals can see certain profile information necessary for service delivery (name, photo, ratings, approximate location).

Service providers: Payment processors, hosting services, analytics services, background check services, who act on our behalf and according to our instructions.

Business partners: Only with your prior consent.

Authorities: When required by law, a court order or to protect our legal rights.

We contractually require our service providers to protect your personal information in accordance with applicable laws and this policy.

2.7 Transfer Outside Quebec

Some of our service providers may be located outside Quebec or Canada (notably in the United States). Before any transfer of personal information outside Quebec, we conduct a privacy impact assessment (PIA) in accordance with Law 25, to ensure that your information benefits from adequate protection. We put in place appropriate contractual safeguards to ensure this protection.

2.8 Retention and Destruction

We retain your personal information only as long as necessary to achieve the purposes for which it was collected, or to comply with our legal obligations. As an indication:

  • Account data: during your registration period, then 3 years after account closure
  • Transaction data: 7 years (tax and accounting obligations)
  • Professional verification data: during the registration period, then according to legal requirements
  • Navigation data (cookies): according to the duration indicated in our cookie policy

Upon expiration of these periods, your information is securely destroyed or anonymized in accordance with recognized best practices.

2.9 Your Rights

In accordance with applicable laws, you have the following rights regarding your personal information:

2.9.1 General Rights (Quebec and Canada)

Right of access: Obtain confirmation that we hold information concerning you and have access to it.

Right of rectification: Have inaccurate or incomplete information corrected.

Right to erasure (« right to be forgotten »): Request deletion of your information or de-indexing of hyperlinks in certain circumstances.

Right to portability: Receive your information in a structured and commonly used technological format, or have it transferred to another organization.

Right to withdraw your consent: Withdraw your consent at any time, subject to legal restrictions.

2.9.2 Additional Rights for California Residents (CCPA/CPRA)

If you are a California resident, you also have the following rights:

Right to know: Know the categories and specific elements of personal information collected, sources, purposes and third parties with whom they are shared.

Right to deletion: Request deletion of your personal information.

Right to refuse sale or sharing: We do not sell your personal information. If this situation changed, you would have the right to refuse.

Right to limit use of sensitive information: Limit the use of your sensitive personal information.

Right to non-discrimination: Not suffer discrimination for having exercised your rights.

2.9.3 Exercising Your Rights

To exercise your rights, please contact us at the coordinates indicated in section 1.2. We will respond to your request within 30 days. We may ask you to verify your identity before processing your request. If we refuse your request, we will explain the reasons.

2.10 Connection Cookies

Our website and application use connection cookies and similar technologies. A cookie is a small text file stored on your device that allows us to recognize you and personalize your experience.

2.10.1 Types of Cookies Used

Essential cookies: Necessary for site operation (authentication, security, cart). Cannot be disabled.

Performance cookies: Help us understand how you use our site (Google Analytics or equivalent). Require your consent.

Functional cookies: Allow us to remember your preferences (language, region). Require your consent.

Advertising cookies: Used to display relevant advertisements (if applicable). Require your consent.

2.10.2 Managing Your Preferences

On your first visit, a banner allows you to choose the categories of cookies you accept. You can modify your preferences at any time via the « Cookie Settings » link located at the bottom of our site. You can also configure your browser to refuse cookies, but this may affect the operation of certain features.

2.11 Information Security

We implement appropriate technical, administrative and physical security measures to protect your personal information against unauthorized access, disclosure, modification or destruction. These measures include in particular: encryption of data in transit (TLS/SSL) and at rest, strict access controls, regular security audits, and staff training. Despite our efforts, no system is completely infallible. In case of a privacy incident presenting a risk of serious harm, we will notify you as well as the Commission d'accès à l'information du Québec, in accordance with Law 25.

2.12 Commercial Communications (CASL)

In accordance with the Canadian Anti-Spam Legislation (CASL), we only send commercial electronic messages to persons who have given their express or implicit consent.

Explicit consent: You have checked a box accepting to receive our communications.

Implicit consent: You have used our services or communicated with us in the past two years.

Unsubscribe: Each commercial message contains an unsubscribe mechanism. You can also contact us directly to unsubscribe.

2.13 « Do Not Sell My Personal Information » Notice

For California residents: Helpeur does not sell and has not sold in the past 12 months the personal information of its users to third parties for monetary or other valuable consideration within the meaning of CCPA/CPRA. If this practice changed, we would implement a « Do Not Sell or Share My Personal Information » link in accordance with California law.

2.14 Minors

Our Services are not intended for persons under 18 years of age. We do not knowingly collect personal information from minors. If we learn that we have collected information from a minor, we will delete it as soon as possible.

2.15 Policy Modifications

We may modify this privacy policy at any time. In case of substantial modification, we will notify you by email or by a notice on our website before the modifications take effect. The date of last update is shown at the top of this document. We encourage you to regularly consult this policy.

PART 3 – GENERAL TERMS OF USE

These general terms of use (« Terms ») govern your access and use of the website www.helpeur.ca, Helpeur mobile applications and all related services (collectively, the « Services »). By using our Services, you agree to be bound by these Terms.

3.1 Acceptance of Terms

By accessing or using our Services, you confirm:

  • Having read, understood and accepted these Terms
  • Having read and accepted our privacy policy
  • Being at least 18 years old or having reached the age of majority in your jurisdiction
  • Having the legal capacity to enter into a binding contract

If you do not accept these Terms, you must stop using our Services immediately.

3.2 Service Description

Helpeur is a technology platform that connects individuals (« Clients ») with qualified professionals (« Helpeurs » or « Professionals ») for the delivery of home services, including in particular: cleaning and maintenance, light plumbing and electrical work, furniture assembly, snow removal and gardening, and other residential services.

Helpeur acts solely as a technology intermediary facilitating connections. Helpeur is not a party to the service contract concluded between the Client and the Professional, and is not the employer of Professionals.

3.3 Registration and User Account

3.3.1 Account Creation

To use our Services, you must create an account. You agree to:

  • Provide accurate, complete and up-to-date information
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Not create more than one account per person

3.3.2 Professional Verification

Professionals wishing to offer their services through Helpeur must undergo a rigorous verification process including:

  • Criminal background check
  • Validation of professional cards and certifications
  • Verification of required insurance
  • Skills assessment interview

Only candidates meeting our quality criteria are accepted (acceptance rate below 15%).

3.4 User Obligations

3.4.1 General Obligations

By using our Services, you agree to:

  • Respect applicable laws and regulations
  • Not use the Services for illegal, fraudulent or harmful purposes
  • Not publish defamatory, offensive, discriminatory content or content infringing on the rights of others
  • Not attempt to circumvent security systems or access unauthorized data
  • Not use robots, scrapers or other automated means to access the Services

3.4.2 Specific Client Obligations

  • Provide clear and complete instructions for requested work
  • Ensure a safe working environment for the Professional
  • Pay for services rendered according to agreed terms
  • Evaluate Professionals honestly and constructively

3.4.3 Specific Professional Obligations

  • Maintain valid qualifications, certifications and insurance
  • Execute services with professionalism and diligence
  • Respect agreed schedules
  • Comply with applicable tax laws (income declaration, taxes)
  • Not contact Clients outside the platform to avoid service fees

3.5 Payments and Pricing

Pricing: Service prices are displayed on the platform and include applicable taxes, unless otherwise indicated.

Payment: Payment is made through the platform. Your card is only charged once the work is completed.

Service fees: Helpeur charges service fees for using the platform.

Cancellation: Cancellation fees may apply according to the deadlines provided in our policies.

Refund: In case of dispute, please contact our customer service. Refunds are granted on a case-by-case basis according to circumstances.

3.6 Limitation of Liability

3.6.1 Helpeur is a connection platform and is not responsible for the quality, safety or legality of services provided by Professionals. Although we verify Professional qualifications, we cannot guarantee their performance.

3.6.2 To the extent permitted by law, Helpeur disclaims all liability for direct, indirect, incidental, special, consequential or punitive damages arising from the use of the Services or the inability to use them, including property damage, bodily injury or economic losses.

3.6.3 Helpeur's total liability to you may in no case exceed the amount you have paid to Helpeur in the 12 months preceding the claim.

3.6.4 The above limitations do not apply to the extent they are prohibited by applicable law, notably the Quebec Consumer Protection Act for consumers residing in Quebec.

3.7 Indemnification

You agree to indemnify, defend and hold harmless Helpeur, its officers, directors, employees and agents against any claim, loss, damage, cost or expense (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, your violation of a third party's rights, or any content you publish on the platform.

3.8 Intellectual Property

3.8.1 Helpeur Rights: The website, application, their content (texts, images, logos, software) and the Helpeur trademark are the exclusive property of Helpeur Inc. and are protected by copyright and trademark laws.

3.8.2 Limited License: We grant you a limited, non-exclusive, non-transferable and revocable license to use our Services in accordance with these Terms. This license does not grant you any rights to our intellectual property.

3.8.3 User Content: By publishing content on the platform (reviews, photos, comments), you grant us a worldwide, non-exclusive, royalty-free and transferable license to use, reproduce, modify and display this content in the context of operating the Services.

3.9 Suspension and Termination

3.9.1 By User: You can close your account at any time by contacting us or via the application settings.

3.9.2 By Helpeur: We reserve the right to suspend or terminate your account, without notice, in case of violation of these Terms, fraudulent or abusive behavior, repeated complaints from other users, or for any legitimate reason related to the security or integrity of the Services.

3.9.3 Effects of Termination: Termination does not affect rights and obligations arising before termination. Clauses that, by their nature, must survive termination, will continue to apply (notably clauses relating to limitation of liability, indemnification and dispute resolution).

3.10 Dispute Resolution

3.10.1 Amicable Negotiation: In case of dispute, you agree to attempt to resolve it amicably by contacting us first.

3.10.2 Mediation: If the dispute cannot be resolved amicably, the parties may agree to submit the dispute to mediation before initiating legal action.

3.10.3 Jurisdiction: Any unresolved dispute will be submitted to the exclusive jurisdiction of the courts of the province of Quebec, district of [Montreal/other]. These Terms are governed by the laws of Quebec and the federal laws of Canada that apply.

3.11 Terms Modifications

We reserve the right to modify these Terms at any time. Modifications will take effect upon their publication on our website. In case of substantial modifications, we will inform you by email or by a notice on the platform. Your continued use of the Services after publication of modifications constitutes your acceptance of the modified Terms.

3.12 Miscellaneous Provisions

Entirety of Agreement: These Terms, together with the privacy policy, constitute the entire agreement between you and Helpeur regarding the use of the Services.

Severability: If a provision of these Terms is found to be invalid or inapplicable, the other provisions will remain in effect.

Waiver: The failure to exercise a right provided in these Terms does not constitute a waiver of that right.

Assignment: You may not assign your rights or obligations under these without our prior written consent. Helpeur may assign these without restriction.

Language: These Terms have been drafted in French. In case of translation, the French version shall prevail.

If you are a Professional (Helpeur), you also acknowledge having read and accepted the specific conditions applicable to Professionals, including verification requirements and resulting obligations.
